By accessing or using CladLogic Released ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

CladLogic Released is a cloud-based release-tracking platform for facade fabrication operations. The Service is provided on a subscription basis to business customers ("Tenants") and their authorized users.

Your organization retains ownership of all data and files uploaded to the Service ("Customer Data"). You grant CladLogic a limited license to store, process, and display Customer Data solely as necessary to operate the Service.

You represent that you have the rights to upload all content you submit to the Service and that such content does not violate any applicable law or third-party rights.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We reserve the right to perform maintenance, updates, or modifications at any time. We will make reasonable efforts to provide advance notice of planned downtime.

7. Subscription and Payment

Access to the Service requires a paid subscription. Subscription terms, pricing, and billing are governed by the order or agreement between CladLogic and your organization. Failure to maintain an active subscription may result in suspension of access.

8. Termination

Either party may terminate access to the Service with written notice. CladLogic reserves the right to suspend or terminate access immediately for violation of these Terms. Upon termination, your organization's data will be retained for 90 days before deletion, during which time you may request an export.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. CladLogic does not warrant that the Service will be error-free, uninterrupted, or free of harmful components.

10. Limitation of Liability

To the maximum extent permitted by applicable law, CladLogic shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, even if advised of the possibility of such damages. Our total liability to you shall not exceed the amount paid by your organization for the Service in the three months preceding the claim.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice with at least 14 days' advance notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict of law principles.
